Pro-Rating Adjustments


I.   Where calculations include only the 1994-95 regular season

               (i)  Where a player attains 48/84 or more of a
specified performance criterion, expressed in terms of games
played, goals scored or similar statistical criteria (the
"Performance Criterion"), the player shall receive 48/84 of the
applicable bonus.

              (ii)  When computing the aggregate games played
criterion for the purpose of determining a player's status under
his SPC, the CBA or the League By-Laws, the   relevant criterion
shall be pro rated by 48/84.  Fractional games are rounded up (if 
.50 or greater).  Fractional games are rounded down (if less than
.50).  The fraction 48/84 may be replaced by 57.14% in such
calculations.

II.  Where calculations are required for the 1994/95 regular
season and any one or more prior or future regular seasons.

               (i)  Where a player attains greater than or equal
to the Fractional Portion (as hereinafter defined) of the
Performance Criterion, then the player shall receive the          
Fractional Portion of the applicable performance bonus. 
"Fractional Portion" means a fraction the numerator of which is
the actual number of games played by the applicable player's team
in each relevant NHL regular seasons (as defined below) and the
denominator of which is the number of games that would have been
played by the applicable player's NHL team in each relevant
regular season had there been no work stoppage in 1994/95.  With
respect to the calculation of any bonus, the bonus amount shall
be similarly pro rated.

              (ii)  When computing the aggregate games played
criterion for the purpose of determining a player's status under
his SPC, the CBA or the League By-Laws, the relevant criterion
shall be pro rated by the Fractional Portion.  Fractional games
are rounded up (if .50 or greater) and down (if less than .50).

             (iii)  The relevant NHL regular seasons shall be
defined as any season contained in the fixed term of a Standard
Player's Contract.  The option year of any such contract shall
not be included in such definition, unless the player actually
plays out his option.

              (iv)  Any player agreeing to a new contract after
May 3, 1995 shall be exempt from pro-rating under these rules.

               (v)  Following the completion of the 1994/95
season, each NHL club shall prepare a chart which applies these
pro-rating rules to each player it has under contract. These
charts shall be forwarded to the NHLPA for review, and any
questions shall be discussed.
